This document is an electronic record under the Information Technology Act, 2000 and the rules thereunder, and is published in accordance with Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which require publishing the rules, regulations, privacy policy and Terms of Use for access to or usage of the domain https://spoonwell.in (the "Website" / "Platform"). Being an electronic record generated by a computer system, it does not require any physical or digital signature.

The Platform is owned and operated by SpoonWell, a sole proprietorship run by its proprietor, Ashmit Parandkar, with its place of business at Flat 601, Pratyusha Meadows, Kokapet, Hyderabad, Telangana 500075 (the "Platform Owner", "SpoonWell", "we", "us", "our").

These Terms of Service ("Terms" / "Terms of Use") govern your access to and use of the SpoonWell website and meal-subscription service. By creating an account, subscribing, placing an order, or merely accessing, browsing or otherwise using the Platform, you ("you", "your", "user", "customer") agree to these Terms and to our Privacy Policy, Refund & Cancellation Policy, Return Policy, and Delivery (Shipping) Policy, which are incorporated by reference. If you do not agree, please do not use the service. We may modify these Terms at any time without prior notice; it is your responsibility to review them periodically. Upon initiating a transaction for the Services you enter into a legally binding and enforceable contract with the Platform Owner.

1. About our service

SpoonWell is a home-style meal-subscription (tiffin) service operating in Hyderabad, Telangana. We prepare and deliver fresh vegetarian and non-vegetarian lunches and dinners on trial, weekly, and monthly subscription plans, with optional add-ons. The service is offered and delivered within India only.

2. Eligibility

You must be at least 15 years old to use SpoonWell, and able to receive deliveries within our service areas. If you are under 18, you confirm that a parent or legal guardian has reviewed and agreed to these Terms on your behalf and is responsible for the account and any payments. By using SpoonWell you confirm you meet these requirements.

3. Your account

Accounts are created and secured using your mobile number and a one-time password (OTP); no password is stored. The same mobile number maps to a single account. You are responsible for activity under your account and for keeping your contact and delivery details accurate and up to date.

4. Pricing, billing & payment terms

  • All prices are listed on the Plans and Subscribe pages in Indian Rupees (INR, ₹) and are inclusive of applicable taxes (GST) and free delivery, unless stated otherwise.
  • Subscriptions are paid in advance — either a one-time payment for a billing cycle, or as recurring (auto-pay) payments where you explicitly authorise a mandate.
  • Payments are processed by our third-party payment-gateway partner. We do not collect or store your card, UPI, or bank credentials.
  • A subscription becomes active only after payment is successfully received and verified. If a payment fails or is not authorised, the subscription will not start (or will pause).
  • There are no hidden charges. Any optional add-ons are shown with their price before you confirm.
  • We may revise prices from time to time; changes apply to future billing cycles, never to a cycle you've already paid for.

5. Deliveries

We deliver within our published areas. Lunch is delivered by approximately 1:00 PM and dinner by approximately 8:00 PM. Full details — areas, timings, cut-offs, and handling of undeliverable orders — are in our Delivery Policy.

6. Pause, skip, change & cancellation

You may pause specific delivery days (chosen on a calendar), change your plan, or cancel your subscription as described in our Refund & Cancellation Policy. Pauses are limited per cycle — up to 2 meals on a weekly plan and 5 on a monthly plan (doubled to 4 and 10 if you take both lunch and dinner) — and roll over; a paused meal can be restored before its cut-off. Plan changes take effect from your next delivery. Refunds, where applicable, are governed by that policy.

7. Food safety, quality & allergens

SpoonWell is FSSAI registered (Licence No. 23626028003977). Our meals are freshly prepared in kitchens that follow hygiene and food-safety practices in line with India's Food Safety and Standards Act, 2006. Food is perishable and intended to be consumed on the day of delivery.

Our food may contain or come into contact with common allergens (dairy, gluten, nuts, soy, egg, mustard). If you have allergies or dietary restrictions, please note them in your preferences before ordering; we cannot guarantee an allergen-free preparation, and you are responsible for deciding whether a meal is suitable for you.

8. Acceptable use

You agree to use the service lawfully; provide accurate delivery information; not resell our meals without authorisation; and not misuse, disrupt, reverse-engineer, or attempt unauthorised access to the service.

9. Intellectual property

The SpoonWell name, logo, website, content, and design are owned by SpoonWell and protected by applicable laws. You may not copy, reproduce, or use them without our prior written permission.

10. Disclaimers & limitation of liability

The service and the information and materials on the Platform are provided on an "as is" and "as available" basis. Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials for any particular purpose, and such information may contain inaccuracies or errors which we exclude liability for to the fullest extent permitted by law. Your use of the Platform and Services is solely at your own risk, and you are responsible for independently assessing that the Services meet your requirements.

To the maximum extent permitted by law, SpoonWell is not liable for indirect, incidental, or consequential losses. Our total liability for any claim relating to an order is limited to the amount you paid for that order. Nothing in these Terms limits liability that cannot be excluded under applicable law.

11. Indemnity

You agree to indemnify and hold harmless the Platform Owner, its affiliates, and their respective officers, directors, agents and employees from any claim, demand, action, penalty or reasonable legal cost arising out of or relating to your breach of these Terms, the Privacy Policy or other policies, or your violation of any law, rule or regulation or the rights (including intellectual-property rights) of any third party.

12. Force majeure

We are not liable for delays or failures in delivery caused by events beyond our reasonable control — including weather, traffic, strikes, power/internet outages, supply shortages, government action, or public-health emergencies. Where a meal cannot be delivered for such reasons, we will credit or refund that meal.

13. Suspension & termination

You may stop using the service and cancel anytime. We may suspend or terminate an account that violates these Terms or is used fraudulently or abusively, and will refund any eligible unused, paid-for meals in such cases.

14. Changes to the service & these Terms

Menus rotate based on ingredient availability. We may update these Terms from time to time; material changes are reflected here with a new "Last updated" date. Continued use after changes means you accept them.

15. Governing law & jurisdiction

These Terms, and any dispute or claim relating to them or their enforceability, are governed by and construed in accordance with the laws of India. Subject to the grievance process below, all disputes are subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana.

We acknowledge complaints within 48 hours and aim to resolve them within 30 days, in line with applicable Indian consumer-protection rules.
